Non-profit?  Awesome!  Though I really wish that the people would keep their project a secret and just release it when it's finished.

I really do not see grounds for a cease and desist.  The main reason to issue one is if they make money or if the source company is planning to make one and distribute it.  Last I checked they aren't planning on making a 2d side scroller and the remake will take players from this game when it is released so there will be no loss of profit.
